OVERVIEW

Welcome to LockedFans! The terms “we”, “us” and “our” refer to LockedFans, a DBA of Visionario Inc. LockedFans operates this store, website, and the LockedFans application (the “App”), including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping and engagement experience (the “Services”). LockedFans is powered by Shopify for e-commerce and uses Vercel and Supabase for the App.

The below terms and conditions, together with any policies referenced herein (these “Terms of Service” or “Terms”) describe your rights and responsibilities when you use the Services.

Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as product safety, warranty disclaimers, assumption of risk, and limitations of liability.

By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or Privacy Policy, you should not use or access our Services.

SECTION 1 — AGE REQUIREMENT AND ACCOUNT ACCESS

By agreeing to these Terms of Service, you represent and warrant that you are at least 18 years of age. Our products and the App are intended exclusively for use by adults aged 18 and older. By placing an order, creating an App account, or using our Services, you confirm that you meet this age requirement.

To use the Services, including accessing or browsing our online stores, using the App, or purchasing any of the products or services we offer, you may be asked to provide certain information, such as your email address, date of birth, billing, payment, and shipping information. You represent and warrant that all the information you provide in our stores and the App is correct, current and complete and that you have all rights necessary to provide this information.

You are solely responsible for maintaining the security of your account credentials and for all of your account activity. You may not transfer, sell, assign, or license your account to any other person.

SECTION 2 — LOCKEDFANS APP AND DIGITAL SERVICES

2.1 App Services

In addition to our e-commerce store, LockedFans operates a web-based application (the “App”) that provides digital tracking, session management, community, and engagement features related to our Products. The App includes, but is not limited to: session timers and duration tracking, check-in verification (including photographic verification), achievement and progress tracking, leaderboards, user profiles, and direct messaging between users. All references to “Services” in these Terms include the App and its features.

2.2 App Account Registration

Access to the App requires a verified LockedFans purchase and creation of an App account. During account registration, you will be required to provide your date of birth to verify that you are at least 18 years of age. You represent and warrant that the date of birth you provide is accurate and truthful. Providing false age information constitutes a material breach of these Terms and is grounds for immediate account termination.

2.3 Session and Check-in Features

The App provides session tracking features that allow you to set voluntary commitment periods. These digital tracking features are informational and motivational tools only. They do not control, operate, lock, unlock, or otherwise interact with any physical Product. You acknowledge that session timers, check-in requirements, and streak tracking within the App are separate from and independent of any physical device timer or lock mechanism. The App’s digital features carry no physical enforcement capability.

SECTION 3 — USER-GENERATED CONTENT

3.1 Content You Submit

The App allows you to submit photographs and other content (“User Content”), including but not limited to cage check verification photos, profile information, and messages sent through the App’s direct messaging feature. You retain ownership of your User Content. By submitting User Content to the App, you grant Visionario Inc. (d/b/a LockedFans) a non-exclusive, worldwide, royalty-free, sublicensable license to use, store, display, reproduce, and distribute your User Content solely in connection with operating and providing the Services.

3.2 Public Profile and Photo Feed

The App includes an optional public profile feature that may display certain User Content, including cage check photos, on your profile visible to other registered users. This feature is opt-in. By enabling public display of your User Content, you acknowledge and agree that: (a) your User Content will be visible to other registered users of the App; (b) you are solely responsible for the content you choose to make public; (c) you may disable public display of your User Content at any time through your account settings; and (d) once content is made public, other users may have viewed or cached it, and we cannot guarantee complete removal from all systems after it has been displayed.

3.3 Content Standards

All User Content you submit must comply with the following standards. User Content must not: (a) depict, involve, or appear to involve any individual under the age of 18; (b) depict or promote non-consensual activity of any kind; (c) contain another person’s likeness, identifying information, or body without that person’s explicit, documented consent; (d) contain illegal content under United States federal law or the laws of the State of Minnesota; (e) infringe upon any third party’s intellectual property, privacy, or other rights; (f) contain malware, spam, phishing attempts, or other harmful material; or (g) contain face-revealing photographs or other personally identifying information unless you have chosen to share such information voluntarily and understand the risks of doing so.

3.4 Content Moderation and Removal

We reserve the right, but assume no obligation, to monitor, review, and remove any User Content at our sole discretion, for any reason, including but not limited to violations of these Terms or our Content Standards. We may suspend or terminate accounts that repeatedly violate Content Standards. Users may report content they believe violates these Terms by contacting support@lockedfans.com.

3.5 Content Redistribution Prohibited

You may not download, screenshot, copy, redistribute, republish, or share any other user’s User Content outside of the App without that user’s explicit written consent. Violation of this provision may result in immediate account termination and may expose you to legal liability.

SECTION 4 — DIRECT MESSAGING

The App provides a direct messaging feature that allows registered users to communicate with one another. All messages sent through the App are subject to these Terms, including the Prohibited Uses provisions. You agree not to use the messaging feature to harass, threaten, intimidate, solicit, or send unsolicited commercial messages to other users. We reserve the right to monitor, review, or retain messages as necessary to enforce these Terms, comply with legal obligations, or respond to reports of abuse. We may suspend or terminate your access to messaging at any time for violations of these Terms.

SECTION 5 — OUR PRODUCTS

We have made every effort to provide an accurate representation of our products and services in our online stores. However, please note that colors or product appearance may differ from how they may appear on your screen due to the type of device you use to access the store and your device settings and configuration.

We do not warrant that the appearance or quality of any products or services purchased by you will meet your expectations or be the same as depicted or rendered in our online stores.

All descriptions of products are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit the quantities of any products that we offer to any person, geographic region or jurisdiction, on a case-by-case basis.

SECTION 6 — PRODUCT SAFETY, INTENDED USE, AND ASSUMPTION OF RISK

THIS SECTION CONTAINS IMPORTANT SAFETY INFORMATION. PLEASE READ IT CAREFULLY.

6.1 Intended Use

LockedFans products, including but not limited to the Keyholder timed vault and the Anchor cage (collectively, “Products”), are designed and sold as adult novelty and lifestyle products. Products are intended for use only by consenting adults who fully understand the function, limitations, and risks associated with their use.

6.2 Acknowledgment of Product Function

You acknowledge and understand that certain Products are specifically designed to restrict access to keys or to restrict the body for a set period of time and that, once engaged, certain Products cannot be opened, unlocked, overridden, or bypassed until the set timer expires. This is an intentional and core feature of the Product, not a defect. By purchasing and using such Products, you expressly acknowledge and accept this functionality.

6.3 Assumption of Risk

BY PURCHASING, POSSESSING, OR USING ANY PRODUCT SOLD BY LOCKEDFANS, YOU VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH SUCH USE, INCLUDING BUT NOT LIMITED TO: (a) physical discomfort, injury, irritation, or other bodily harm resulting from the use or misuse of the Product; (b) property damage or loss resulting from the inability to access keys, locked items, or secured property during an active timer period; (c) emotional or psychological distress related to the use of the Product; (d) medical emergencies or health complications that may arise during the period in which a Product is engaged or in use; and (e) any consequences arising from the voluntary use of a Product that restricts access, movement, or bodily function.

6.4 No Medical Device

Our Products are not medical devices and have not been evaluated, cleared, or approved by the U.S. Food and Drug Administration (FDA) or any other governmental health authority. Products are not intended to diagnose, treat, cure, or prevent any medical condition. If you have any pre-existing medical condition, circulatory issues, skin sensitivities, or other health concerns, consult a licensed medical professional before using any Product.

6.5 Consent

You represent and warrant that: (a) you are using the Product voluntarily and of your own free will; (b) if the Product is being used with or by another person, all parties involved have provided informed, voluntary, and ongoing consent to the use of the Product; and (c) no Product will be used on, applied to, or engaged upon any person without that person’s explicit prior consent.

6.6 Misuse

LockedFans Products must be used in accordance with all included instructions and documentation. You agree not to: (a) use any Product on a minor or any person who has not provided explicit consent; (b) use any Product on any person who is incapacitated, unconscious, or otherwise unable to consent; (c) use any Product in a manner that is illegal in your jurisdiction; (d) use any Product in a manner that intentionally causes harm to yourself or another person beyond the intended function of the Product; (e) modify, tamper with, or alter any Product in a way that changes its intended function or safety characteristics; or (f) use any Product if you are under the influence of drugs or alcohol to a degree that impairs your judgment or physical awareness.

6.7 Emergency Situations

You acknowledge that certain Products are designed without override or emergency release mechanisms. You are solely responsible for planning and preparing for any emergency situation that may arise during the use of such Products, including but not limited to: maintaining access to tools capable of physically defeating the Product (such as bolt cutters or angle grinders), informing a trusted person of your use of the Product, and ensuring access to emergency medical services. LockedFans shall not be liable for any injury, loss, or damage arising from your failure to prepare for emergency situations.

6.8 Hygiene and Health

You are solely responsible for maintaining proper hygiene and monitoring your physical health during use of any Product. LockedFans is not responsible for any skin irritation, infection, circulatory issues, nerve damage, or other health complications that may result from prolonged or improper use of any Product.

6.9 Release of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY RELEASE, DISCHARGE, AND HOLD HARMLESS LOCKEDFANS (DBA OF VISIONARIO INC), ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS FROM ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, DAMAGES, LOSSES, COSTS, AND EXPENSES (INCLUDING ATTORNEYS’ FEES) ARISING OUT OF OR RELATING TO YOUR PURCHASE, POSSESSION, OR USE OF ANY PRODUCT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY. THIS RELEASE APPLIES REGARDLESS OF WHETHER THE CLAIM ARISES FROM THE INTENDED USE, MISUSE, MODIFICATION, OR FAILURE OF THE PRODUCT.

SECTION 7 — ORDERS

When you place an order, you are making an offer to purchase. LockedFans reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until LockedFans confirms acceptance. We must receive and process your payment before your order is accepted. Please review your order carefully before submitting, as LockedFans may be unable to accommodate cancellation requests after an order is accepted. In the event that we do not accept, make a change to, or cancel an order, we will attempt to notify you by contacting the email, billing address, and/or phone number provided at the time the order was made.

Your purchases are subject to return or exchange solely in accordance with our Refund Policy.

You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export.

SECTION 8 — PRICES AND BILLING

Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Unless otherwise expressly stated, posted prices do not include taxes, shipping, handling, customs or import charges.

Prices posted in our online stores may be different from prices offered in physical stores or in online or other stores operated by third parties. We may offer, from time to time, promotions on the Services that may affect pricing and that are governed by terms and conditions separate from these Terms. If there is a conflict between the terms for a promotion and these Terms, the promotion terms will govern.

You agree to provide current, complete and accurate purchase, payment and account information for all purchases made at our stores. You agree to promptly update your account and other information, including your email address, credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

You represent and warrant that (i) the credit card information you provide is true, correct, and complete, (ii) you are duly authorized to use such credit card for the purchase, (iii) charges incurred by you will be honored by your credit card company, and (iv) you will pay charges incurred by you at the posted prices, including shipping and handling charges and all applicable taxes, if any.

SECTION 9 — SHIPPING AND DELIVERY

All orders are shipped in plain, unbranded packaging. Sender information on shipping labels and billing statements will appear under a generic corporate name to protect your privacy.

We are not liable for shipping and delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, or events outside our control. Once we transfer products to the carrier, title and risk of loss passes to you.

SECTION 10 — REFUND AND RETURN POLICY

Due to the intimate and personal nature of our Products, all sales are final. We do not accept returns or exchanges on opened or used Products for hygiene and safety reasons.

If you receive a defective or damaged Product, please contact us at support@lockedfans.com within 14 days of delivery with photos of the defect or damage. We will, at our sole discretion, offer a replacement or store credit.

If your order arrives with missing items or is materially different from what was described, contact us at support@lockedfans.com within 14 days of delivery.

We reserve the right to refuse any return or exchange request that does not comply with this policy.

SECTION 11 — WARRANTY

LockedFans provides a limited one (1) year hardware warranty on the Keyholder timed vault against defects in materials and workmanship under normal use, beginning from the date of original purchase. This warranty covers mechanical failure, LCD display defects, and battery failure under normal operating conditions.

This warranty does not cover: (a) damage resulting from misuse, abuse, neglect, accident, or modification; (b) damage resulting from attempts to forcibly open, break, or tamper with the Product; (c) normal wear and tear; (d) cosmetic damage including scratches, dents, and broken plastic; (e) damage caused by operating the Product outside the permitted or intended uses described in the documentation; or (f) damage caused by service performed by anyone who is not an authorized LockedFans representative.

To make a warranty claim, contact support@lockedfans.com with your order number and a description of the issue. LockedFans will, at its sole discretion, repair, replace, or issue store credit for the defective Product.

THIS WARRANTY IS THE SOLE AND EXCLUSIVE WARRANTY PROVIDED BY LOCKEDFANS. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION, LOCKEDFANS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

SECTION 12 — INTELLECTUAL PROPERTY

Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and the design, selection, and arrangement thereof, are owned by LockedFans (DBA of Visionario Inc), its affiliates or licensors and are protected by U.S. and foreign patent, copyright and other intellectual property laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without our prior written consent. Unauthorized use of the Services may be a violation of federal and state intellectual property laws. All rights not expressly granted herein are reserved by LockedFans.

LockedFans’s names, logos, product and service names, designs, and slogans are trademarks of Visionario Inc. You must not use such trademarks without prior written permission. Shopify’s name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

SECTION 13 — OPTIONAL TOOLS

You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor have any control nor input.

You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

SECTION 14 — THIRD-PARTY LINKS

The Services may contain materials and hyperlinks to websites provided or operated by third parties. We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites you choose to access. If you decide to leave the Services to access these materials or third-party sites, you do so at your own risk.

We are not liable for any harm or damages related to your access of any third-party websites, or your purchase or use of any products, services, resources, or content on any third-party websites.

SECTION 15 — RELATIONSHIP WITH SHOPIFY

LockedFans is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with LockedFans (DBA of Visionario Inc). By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and LockedFans, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with LockedFans.

SECTION 16 — PRIVACY POLICY

All personal information we collect through the Services, including through the App, is subject to our Privacy Policy, and certain personal information may be subject to Shopify’s Privacy Policy. By using the Services, you acknowledge that you have read these privacy policies.

Because the e-commerce Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve the Services for you.

SECTION 17 — FEEDBACK

If you submit, upload, post, email, or otherwise transmit any ideas, suggestions, feedback, reviews, proposals, plans, or other content (collectively, “Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute and display such Feedback in any medium for any purpose, including for commercial use.

You represent and warrant that: (i) you own or have all necessary rights to all Feedback; (ii) you have disclosed any compensation or incentives received in connection with your submission of Feedback; and (iii) your Feedback will comply with these Terms. We are under no obligation to maintain your Feedback in confidence, to pay compensation for your Feedback, or to respond to your Feedback.

SECTION 18 — ERRORS, INACCURACIES AND OMISSIONS

Occasionally there may be information on or in the Services that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information is inaccurate at any time without prior notice (including after you have submitted your order).

SECTION 19 — PROHIBITED USES

You may access and use the Services for lawful purposes only. You may not access or use the Services, directly or indirectly: (a) for any unlawful or malicious purpose; (b) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (c) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (d) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or harm any of our employees or any other person; (e) to transmit false or misleading information; (f) to send, knowingly receive, upload, download, use, or re-use any material that does not comply with these Terms; (g) to transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation; (h) to impersonate or attempt to impersonate any other person or entity; or (i) to engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Services.

In addition, you agree not to: (a) upload or transmit viruses or any other type of malicious code; (b) reproduce, duplicate, copy, extract, sell, resell or exploit any portion of the Services; (c) collect or track the personal information of others; (d) use any robot, spider, scraping, data gathering and extraction tools, automatic devices or processes, AI tools (such as agentic AI) or automated or manual means to access the Services; or (e) interfere with, bypass, or circumvent the security or authorization features of the Services. We reserve the right to suspend, disable, or terminate your account at any time, without notice, if we determine that you have violated any part of these Terms.

SECTION 20 — AGENTS

20.1 This section (“Agent Terms”) applies if you use, allow, enable, or cause the deployment of an Agent to access, use, or interact with any Services. “Agent” means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity and that can be executed on behalf of or using a person’s device, without direct supervision.

20.2 No Agent may access, use, or interact with Services unless, at all times, it identifies itself and operates in strict accordance with the requirements in section 20.4 below. In addition, no Agent may access, use, or interact with Services if we have requested that the Agent refrain from doing so.

20.3 We may limit, including by technical measures, whether and how any Agent accesses, uses, and interacts with Services.

20.4 Agents must: (i) in all HTTP/HTTPS requests, identify that the request is from an Agent and disclose the name of the Agent by including the following in the request’s user agent string: “Agent/[agent name]”; (ii) not conceal or obfuscate that any access, use, or interactions are from an Agent; (iii) respond truthfully to any question or prompt seeking to determine if interactions are coming from a human or a computer; and (iv) not circumvent or otherwise avoid any measure intended to block, limit, modify, or control whether and how Agents access, use, or interact with the Services.

SECTION 21 — TERMINATION

We may terminate this agreement or your access to the Services (or any part thereof), including your App account, in our sole discretion at any time without notice, and you will remain liable for all amounts due up to and including the date of termination.

SECTION 22 — DISCLAIMER OF WARRANTIES

EXCEPT AS EXPRESSLY STATED BY LOCKEDFANS, THE SERVICES, THE APP, AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” FOR YOUR USE, WITHOUT ANY REPRESENTATION, WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE, REPRESENT OR WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. THE APP IS A DIGITAL TRACKING AND COMMUNITY TOOL. WE MAKE NO REPRESENTATIONS REGARDING THE SAFETY, SUITABILITY, OR APPROPRIATENESS OF ANY PHYSICAL DEVICE OR PRACTICE REFERENCED IN CONNECTION WITH THE APP. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU.

SECTION 23 — LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO CASE SHALL LOCKEDFANS (DBA OF VISIONARIO INC), OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, PERSONAL INJURY, BODILY HARM, EMOTIONAL DISTRESS, PROPERTY DAMAGE, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SERVICES, THE APP, OR ANY PRODUCTS PROCURED USING THE SERVICES, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES, THE APP, OR ANY PRODUCT.

IN ANY EVENT, OUR AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PRODUCTS, THE APP, OR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO LOCKEDFANS FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.

SECTION 24 — INDEMNIFICATION

You agree to indemnify, defend and hold harmless LockedFans (DBA of Visionario Inc), Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities or claims, including reasonable attorneys’ fees, payable to any third party due to or arising out of (1) your breach of these Terms of Service or the documents they incorporate by reference, (2) your violation of any law or the rights of a third party, (3) your access to and use of the Services, including the App, (4) your User Content, (5) your use or misuse of any Product, or (6) any claim by a third party arising from your use of any Product on or with that third party.

SECTION 25 — DISPUTE RESOLUTION

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or in a court of competent jurisdiction in the State of Minnesota, United States.

YOU AND LOCKEDFANS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

SECTION 26 — SEVERABILITY

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service. Such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 27 — WAIVER; ENTIRE AGREEMENT

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitutes the entire agreement and understanding between you and us and governs your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us.

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Minnesota, United States, without regard to its conflict of law provisions. You and LockedFans consent to venue and personal jurisdiction in the state and federal courts located in the State of Minnesota.
